Terms of Service

These Terms of Service ("Terms") govern your use of Contral IDE, the website at contral.ai, and all related services (collectively, the "Service") operated by Contral AI ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account. You must be at least 13 years old to use the Service. If you are under 18, you must have your parent or guardian's consent.

2. Service Description

Contral is an integrated development environment (IDE) that combines AI-powered code generation with a real-time teaching layer. The Service includes:

  • Build Mode — AI agent that reads your codebase, writes code, and runs commands
  • Learn Mode — Structured programming curriculum with challenges, projects, and assessments
  • Teaching Layer — Real-time explanations of code patterns and decisions
  • Desktop Application — Available for macOS and Windows
  • Web Platform — Account management, subscriptions, and support at contral.ai

The Service is currently in Beta. Features, availability, and performance may change without notice. We do not guarantee uptime or uninterrupted access during the Beta period.

3. Subscriptions & Pricing

The Service offers free and paid subscription tiers. Paid subscriptions ("Pro", "Pro+", "Teams") are billed on a monthly or annual basis through our payment processor, Razorpay. All prices displayed on the pricing page are inclusive of applicable taxes.

  • Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
  • We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified via email before any price change takes effect.
  • Promotional pricing (including launch discounts) is offered at our discretion and may be limited in quantity, duration, or eligibility.

4. Refund Policy

We want you to be satisfied with Contral. Our refund policy is as follows:

  • Within 7 days of purchase: If you have used the paid subscription features for less than 3 hours of cumulative active usage, you are eligible for a full refund. Contact us at contact@contral.ai with your account email and reason for the refund.
  • After 3 hours of usage: If you have used the paid subscription features for 3 hours or more of cumulative active usage within the subscription period, no refund will be provided. This is because the AI compute resources, teaching content generation, and infrastructure costs have already been incurred on your behalf.
  • After 7 days: No refunds are provided for subscriptions older than 7 days from the date of purchase, regardless of usage.
  • Annual subscriptions: Annual subscriptions follow the same refund policy. If eligible, refunds are issued for the full annual amount. Partial refunds for remaining months are not provided.
  • Promotional/discounted purchases: Refunds for promotional or discounted purchases are issued at the amount actually paid, not the original price.

All refunds are processed through Razorpay and will be credited to your original payment method within 5–10 business days.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Share, resell, or redistribute your account credentials or subscription access
  • Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable usage
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code, viruses, or harmful content through the Service
  • Attempt to gain unauthorized access to other users' accounts or data

We reserve the right to suspend or terminate your account for violations of these terms without prior notice.

6. Intellectual Property

Your code: You retain full ownership of all code you write, generate, or produce using the Service. We do not claim any intellectual property rights over your code or projects.

Our service: The Service, including its software, design, branding, teaching content, curriculum, and documentation, is owned by Contral AI and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

AI-generated code: Code generated by the AI agent is provided for your use within your projects. You are responsible for reviewing, testing, and ensuring the suitability of any AI-generated code before deploying it in production.

7. Privacy & Data

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

Contral is designed to be local-first. Your source code is processed on your machine. We only transmit the minimum context necessary for AI completions and teaching content generation. We do not store your source code on our servers.

8. Payment Processing

All payments are processed by Razorpay, a PCI-DSS compliant payment gateway. We do not store your credit card details, bank account numbers, or UPI credentials on our servers. All payment information is handled directly by Razorpay in accordance with their terms of service and security standards.

We support payments in USD and INR. The currency is automatically detected based on your location, but you may select your preferred currency on the pricing page.

9. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • We are not responsible for any loss of data, profits, or business opportunities resulting from the use of the Service.
  • Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We do not guarantee the accuracy, reliability, or completeness of any AI-generated code, explanations, or teaching content.

10. Termination

You may delete your account at any time from your account settings or by contacting us at contact@contral.ai. Upon termination:

  • Your subscription will be cancelled and no further charges will be made.
  • Your account data will be deleted in accordance with our Privacy Policy.
  • Any active subscription will remain accessible until the end of the current billing period.

We may also terminate or suspend your account at our discretion if you violate these Terms.

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be resolved through the courts of competent jurisdiction in India.
